SATYA NADELLA SELLS 86,525 MICROSOFT SHARES IN ONE DAY

The shares were dumped on a schedule, not a hunch: the plan covered 80% of net shares vesting from a performance award, with nothing allowed to trade before August 31.

🚨 Satya Nadella sold about 86,525 Microsoft shares in a single day, roughly $43 million worth.

The trades were executed September 1 at weighted-average prices ranging from about $498.24 to $505.20, according to an SEC filing cited by GuruFocus.

GuruFocus reports the sale was not a fresh call on the business. It ran through a pre-arranged Rule 10b5-1 plan Nadella adopted on March 8, 2026, during an open trading window.

That plan had one job: sell 80% of the net shares vesting from an August 31 performance-stock award. No transactions were permitted before August 31.

After the sale, Nadella directly owned approximately 486,763 Microsoft shares.

📈 The backdrop is a company still compounding hard. Fiscal fourth-quarter revenue rose 18% to $90 billion. Net income climbed 31% to $35.8 billion. Azure and other cloud-services revenue jumped 43%, and Microsoft Cloud revenue rose 27% to $59.3 billion.

The number that matters most for the next few years: commercial remaining performance obligations up 84% to $678 billion.

The cost of that growth is showing up too. Microsoft added 31 new data centers in the latest quarter alone, and Microsoft Cloud gross margin stood at 65% in Q4.

GuruFocus argues the real signals are Azure growth, AI monetization and margins, not the headline value of one scheduled sale.

Do scheduled CEO sales still tell you anything, or do you ignore them completely?
